These Terms of Service ("Terms") govern your access to and use of villacurato.com (the "Site") and Villa Curato LLC's household management subscription services (the "Services"). By accessing the Site or subscribing to the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

1.Services

Villa Curato provides premium household management subscriptions through a dedicated Curator. The scope of services, visit frequency, and included tasks vary by subscription tier as described on the Site and in your Client Service Agreement. These Terms apply to use of the Site. Your Client Service Agreement governs delivery of the Services.

2.Eligibility

You must be at least 18 years of age and legally authorized to enter into binding contracts to use the Site or subscribe to the Services. By using the Site, you represent that these conditions are met.

3.Accounts and Inquiries

When you submit an inquiry or create an account, you agree to provide accurate and current information. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us immediately at legal@villacurato.com if you suspect unauthorized access.

4.Subscriptions and Billing

• Subscriptions are billed monthly in advance by ACH transfer or other agreed payment method.
• Subscriptions are month-to-month with thirty (30) days written notice required to cancel.
• Villa Curato reserves the right to update subscription pricing with sixty (60) days written notice. You may cancel without penalty prior to any price change taking effect.
• All fees are non-refundable except as expressly set forth in your Client Service Agreement.

5.Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to any part of the Site or Villa Curato's systems.
• Interfere with the Site's operation or the use of the Site by others.
• Scrape, crawl, or extract data from the Site without written permission.
• Misrepresent your identity or affiliation with any person or entity.

6.Intellectual Property

All content on the Site, including text, graphics, logos, and service descriptions, is owned by or licensed to Villa Curato LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without prior written permission.

7.Third-Party Links and Services

The Site may contain links to third-party websites or reference third-party services. Villa Curato is not responsible for the content, privacy practices, or terms of any third-party site or service. Links do not constitute endorsement.

8.Disclaimers

THE SITE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. VILLA CURATO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VILLA CURATO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VILLA CURATO'S LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL VILLA CURATO BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS — IN SUCH CASES THEY APPLY TO THE MAXIMUM EXTENT PERMITTED.

10.Indemnification

You agree to indemnify and hold harmless Villa Curato LLC and its members, officers, and agents from any claims, losses, or expenses (including attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third party's rights.

11.Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas without regard to conflict of law principles. Any dispute arising out of these Terms shall be resolved by binding arbitration in Austin, Texas under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

12.Modifications

Villa Curato reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site following any modification constitutes your acceptance of the updated Terms.
